ATSG Announces Agreement to Sell Omni Air International

Supports ATSG’s Long-Term Strategy Across Air Cargo, Services and Logistics

Positions Omni for Its Next Chapter as a Leading Passenger Charter and ACMI Platform

WILMINGTON, Ohio, September 28, 2026 – Air Transport Services Group, Inc. (“ATSG” or “the Company”), a leading provider of aircraft leasing, air transportation, and aviation support solutions, today announced that it has entered into an agreement to sell Omni Air International (“Omni”), a provider of passenger ACMI and charter services, to OAI Holdings, LLC (“OAI”), a private company whose management team brings deep expertise in aviation. Financial terms of the transaction were not disclosed.

Founded in 1993, Omni specializes in passenger air transportation, providing customized charter services for commercial and government customers worldwide. Omni also supplies aircraft and operating support to airlines through ACMI wet leasing and offers airline startup, route development and aircraft management services. OAI intends to build on Omni’s established position in the passenger ACMI and charter markets while supporting the company’s next chapter and long-term development. Upon closing, ATSG’s portfolio will be centered on air cargo transportation, aircraft leasing, and related maintenance and logistics services.

OAI’s acquisition of Omni is not subject to any financing contingency, and closing of the transaction is subject only to limited customary closing conditions, including regulatory approval typical of transactions of this type. Pending receipt of regulatory approval, the transaction is expected to close in the fourth quarter of 2026 or early 2027.

Goldman Sachs & Co. LLC is serving as financial advisor and Simpson Thacher & Bartlett LLP and Hogan Lovells Cadwalader US LLP are serving as legal counsel to ATSG. BDT & MSD Partners is serving as financial advisor and Spencer Fane, LLP is serving as legal advisor to OAI.
